Terms of Service

These Terms govern your use of Nevioz websites and software products. Please read them carefully.
1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Nevioz ("we", "us", or "our") governing access to and use of our website at www.nevioz.com, our software products (including Flowcraft and Zalonz), APIs, mobile or web applications, documentation, and related services offered by us (collectively, the "Services").
By accessing or using the Services, clicking an acceptance button where provided, or creating an account, you agree to these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years of age and capable of entering into a binding contract under the Indian Contract Act, 1872 (or the age of majority in your jurisdiction, if higher). Use by minors is not permitted except as expressly allowed by a separate agreement with a parent or guardian where required by law.
3. Accounts and access
Where the Services require an account, you must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding passwords and for all activity under your account. You must notify us promptly at hello@nevioz.com of any unauthorised use.
We may suspend or terminate access if we reasonably believe these Terms have been violated or if required for security, legal compliance, or operational reasons.
4. Licence to use the Services
Subject to these Terms and your payment obligations (if any), we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes or personal non-commercial evaluation, as applicable to the product tier you select.
Except as permitted by applicable law or express written consent, you must not: copy, modify, distribute, sell, lease, or create derivative works of the Services; reverse engineer, decompile, or attempt to extract source code except where mandatory statutory rights apply; interfere with or disrupt the integrity or performance of the Services; use the Services to build a competing product; scrape or harvest data in violation of our rules or robots instructions; or use the Services in violation of law.
5. Acceptable use
You agree not to use the Services to:
- Violate any applicable law in India or elsewhere, including laws relating to defamation, harassment, fraud, spam, intellectual property, export control, or data protection;
- Transmit malware, excessive automated traffic, or content that is unlawful, harmful, or hateful;
- Impersonate any person or misrepresent your affiliation;
- Attempt unauthorised access to our systems, other users' data, or third-party networks.
6. Intellectual property
The Services, including software, branding, documentation, and content provided by us (excluding your data), are owned by Nevioz or our licensors and are protected by copyright, trademark, and other intellectual property laws in India and internationally. No rights are granted except the limited licence in Section 4.
You retain ownership of data you submit ("Customer Data"). You grant us a licence to host, process, transmit, and display Customer Data solely to provide and improve the Services and as described in our Privacy Policy.
7. Third-party services
The Services may integrate with or link to third-party services. Their use is governed by the third party's terms and privacy policy. We are not responsible for third-party services.
8. Fees, trials, and taxes
If you subscribe to paid features, fees, billing cycles, and taxes (including GST or other applicable Indian taxes) will be as stated at checkout or in an order form. Unless otherwise specified, fees are non-refundable except where required by law or expressly stated in writing. We may change pricing with reasonable notice where contractually permitted.
9. Beta and "coming soon" features
Certain features may be labelled beta, preview, or coming soon. They may be incomplete or unstable. We provide them as-is without warranty of fitness for a particular purpose.
10. Disclaimers
To the fullest extent permitted by the Indian Contract Act, 1872 and other applicable laws, the Services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except any warranty that cannot be excluded under the Consumer Protection Act, 2019 or other mandatory law.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under Indian law.
11. Limitation of liability
Subject to Section 10, to the maximum extent permitted by applicable law in India, our total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amount you paid us for the Services in the three (3) months immediately preceding the claim, or (b) Indian Rupees five thousand (INR 5,000) if no fees were paid.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business opportunities, except where such exclusion is prohibited by law.
12. Indemnity
You will indemnify, defend, and hold harmless Nevioz, its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of law or third-party rights.
13. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access for breach, risk, non-payment (if applicable), or cessation of a product. Provisions that by their nature should survive (including Sections 6, 10–12, 14–17) will survive termination.
14. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles that would require application of another jurisdiction's laws.
15. Dispute resolution and jurisdiction
Subject to mandatory provisions of Indian law (including rights of consumers before appropriate commissions or forums under the Consumer Protection Act, 2019), the courts at Surat, Gujarat, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
Nothing prevents us from seeking interim or equitable relief before any court of competent jurisdiction in India.
16. Force majeure
We are not liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, internet or telecommunications failures, or government actions.
17. Changes to these Terms
We may modify these Terms by posting an updated version on this page and changing the "Last updated" date. For material changes to paid subscriptions, we will provide notice as required by contract or law. Continued use after the effective date constitutes acceptance where permitted by law.
18. Severability and assignment
If any provision is held invalid, the remainder remains enforceable. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign without our consent.
